1. Introduction

1.1 Services

These terms of use apply to NetRoadshow, NetRoadshow Conferencing, ResearchFN, StructuredFN, MeetMeNow, DealSite and other NetRoadshow related sites and services (“Services”).

1.2 Terms Of Service

When you use the Services you agree to all of these terms of use. If you are using the Services on behalf of a company, business or other entity, you represent that you have the legal authority to accept these terms of use on behalf of that entity, in which case that entity accepts these terms of use, and ‘you’ means that entity.

Please read these terms of use carefully, as they form the entire agreement between you and us. Your use of our Services is also subject to our Privacy Policy, which covers how we collect, use, share, and store your personal information.

If you do not agree to these terms of use do not access or otherwise use any of our Services.

1.3 Change

We may modify these terms of use and our Privacy Policy from time to time or adopt additional policies which we will post on our website. Changes cannot be retroactive. Your continued use of our Services means that you are consenting to the updated terms of services and policies.

2. Obligations

2.1 Service Eligibility

You warrant and represent that you are allowed to use the Services under applicable law and that you are directly engaged with a financial services organization that invited you to use the Services as means to provide you with access to the documents, material and information included in the Services (the “Material”).

2.2 Service ‘Dos and Don’ts’

Dos: You agree that you will:

  1. Use the Service only in compliance with all applicable laws and regulatory requirements;
  2. Use the Services in accordance with any guidelines and instructions provided to you by the financial services organization that invited you to use the Services.

Don’ts: You agree that you will not:

  1. Obtain or attempt to obtain unauthorized access to the Services;
  2. Override any security feature or bypass or circumvent any access controls or use limits of the Service (such as copy, modify or print of Material);
  3. Copy, use, disclose or distribute any Material obtained from the Services;
  4. Disclose any information contained in the Material that you do not have the right to disclose;
  5. Reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for the Services or any related technology that is not open source;
  6. Rent, lease, loan, trade, sell/re-sell or otherwise monetize the Services or related data or access to the same;
  7. Use bots or other automated methods to access the Services; and/or
  8. Interfere with the operation of, or place an unreasonable load on, the Services (e.g., spam, denial of service attack, viruses, gaming algorithms).

3. Rights and Limits

3.1 Service Availability

We may change or discontinue any of our Services at any time.

3.2 Content provided by the Services

We are providing access to the Material provided to us by the financial services organization with whom you are engaged. We do not and will not review the content in the Material and are not responsible for it.

By using the Services, you may encounter content or information that might be incomplete, delayed, misleading, or otherwise inaccurate.

3.3 Limits

We reserve the right to restrict, suspend, or terminate your access to the Services if we believe that you may be in breach of these terms of use or law or are misusing the Services.

3.4 Intellectual Property Rights

We reserve all of our and our technology partners’ and vendors’ intellectual property rights in the Services. Using the Services does not give you any ownership in our Services or the content or information made available through our Services.

4. Disclaimer and Limit of Liability

4.1 No Warranty

TO THE EXTENT ALLOWED UNDER LAW, WE AND OUR AFFILIATES (A) DISCLAIM ALL IMPLIED WARRANTIES AND REPRESENTATIONS (E.G. WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF DATA, AND NONINFRINGEMENT); (B) DO NOT GUARANTEE THAT THE SERVICES WILL FUNCTION WITHOUT INTERRUPTION OR ERRORS, AND (C) PROVIDE THE SERVICE (INCLUDING CONTENT AND INFORMATION) ON AN “AS IS” AND “AS AVAILABLE” BASIS.

SOME LAWS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OR ALL OF THESE DISCLAIMERS MAY NOT APPLY TO YOU.

4.2 Exclusion Of Liability

TO THE EXTENT PERMITTED UNDER LAW WE SHALL NOT BE LIABLE TO YOU OR OTHERS FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, OPPORTUNITIES, REPUTATION, PROFITS OR REVENUES, RELATED TO THE SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW WE ARE NOT LIABLE IN CONNECTION WITH ANY DISPUTES THAT ARISE OUT OF OR RELATE TO THESE TERMS OF SERVICE OR THE SERVICES FOR ANY AMOUNT GREATER THAN THE AMOUNT PAID TO US FOR THE SERVICES BY THE FINANCIAL SERVICES ORGANIZATION THAT INVITED YOU TO USE THE SERVICES.

THIS LIMITATION OF LIABILITY IS PART OF THE BASIS OF THE BARGAIN BETWEEN YOU AND US AND SHALL APPLY TO ALL CLAIMS OF LIABILITY (E.G. WARRANTY, TORT, NEGLIGENCE, CONTRACT, LAW) EVEN IF WE OR OUR AFFILIATES HAVE BEEN TOLD OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF THESE REMEDIES FAIL THEIR ESSENTIAL PURPOSE.

5. Governing Law and Dispute Resolution

The laws of the State of Georgia, U.S.A., excluding its conflict of laws rules, shall exclusively govern any dispute relating to these terms of service. You agree that all claims and disputes can be litigated only in the federal or state courts in Fulton County County, Georgia, USA, and you agree to personal jurisdiction in those courts.

6. General Terms

If a court with authority over these terms of service finds any part of it unenforceable, you and we agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court cannot do that, you and we agree to ask the court to remove that unenforceable part and still enforce the rest of these terms of service.

If we don’t act to enforce a breach of these terms of service, that does not mean that we have waived its right to enforce these terms of service. You may not assign or transfer your rights and obligations under these terms of service (or your right to use of the Services) to anyone without our consent. However, you agree that we may assign our rights and obligations under these terms of service to our affiliates or a party that buys us without your consent. There are no third-party beneficiaries to these terms of service.

7. Refund Policy

We want you to be completely satisfied with your services. However, in the event of duplicate payment or overpayment on an invoice please note our refund policy below.

To be eligible for a refund, your company’s account must not have any unpaid invoices on your account that are past due.

If you are requesting a refund of a duplicate payment we will process it only if there are no past due invoices on your account.

To complete your refund, we require your company’s banking information if transaction was not paid via credit card.

Please allow a few business days for funds to process and be deposited into your account if returning a credit card payment, ACH or Wire Transfer. Please note a refund processed via check may take additional time due to courier.
